Terms and conditions

By accessing or using the OctoGenie website (www.octogenie.com) and its associated services (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you shall immediately discontinue use of the Services.

These Terms constitute a legally binding agreement between you ("User" or "you") and OctoGenie Private Limited ("OctoGenie," "we," "us," or "our"), a company registered under The Companies Act, 2013 with its registered office at 008, GSR Srinivasam, 34/4, Borewell Road, Nallurahalli, Bangalore, Karnataka, India - 560066.

• "Services" means all products, features, applications, content, and services provided by OctoGenie through its website and associated platforms.
• "User" means any individual or entity that accesses or uses the Services, whether as a registered subscriber or guest visitor.
• "Content" means all text, data, information, documents, legal forms, graphics, software, photographs, and other related materials available through the Services.
• "Account" means a registered user profile (including associated login credentials) created by a User for accessing specified features of the Services.
• "Subscription" means any paid plan or service package offered by OctoGenie.

Age Requirement

You must be at least Eighteen (18) years of age to use the Services. By using the Services, you represent and warrant that you meet this age requirement.

Account Creation

To access certain features of the Services, you must create an Account by providing accurate, current, and complete information during the registration process. You agree to:

• Provide truthful and accurate registration information
• Maintain and promptly update your Account information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your Account
• Notify OctoGenie immediately of any unauthorized use of your Account

Account Termination

OctoGenie reserves the right to suspend or terminate your Account at any time, with notice, including upon default of payment, if you violate these Terms or engage in conduct that OctoGenie deems inappropriate or harmful.

You may use the Services solely for lawful purposes and in accordance with these Terms. You shall agree not to use the Services:

• In any way that violates applicable national, state, or local laws or regulations
• To transmit or procure the transmission of any unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable material
• To impersonate or attempt to impersonate OctoGenie, an OctoGenie employee, another User, or any other person or entity
• In any manner that infringes upon the intellectual property rights of others, including but not limited to copyrights, trademarks, patents, trade secrets, or any other proprietary rights
• To engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Services
• To introduce viruses, trojans, worms, logic bombs, or other malicious or technologically harmful material

License Grant

Subject to your compliance with these Terms, OctoGenie grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your personal or internal business purposes.

Restrictions

You shall not:

• Modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any Content or Services without express written permission
• Reverse engineer, decompile, or disassemble any software or technology underlying the Services
• Use any robot, spider, scraper, or other automated means to access the Services
• Remove, obscure, or alter any copyright, trademark, or other proprietary rights notices
• Attempt to gain unauthorized access to any portion of the Services or related systems or networks

Subscription Plans

OctoGenie offers various subscription plans with different features and pricing. Details of each plan are available on the website.

Payment Terms

• All fees are stated in Indian Rupees (INR) unless otherwise specified
• Subscription fees are billed in advance on a monthly, quarterly, or annual basis, depending on the plan selected and the criteria defined
• Payment must be made through authorized payment methods specified on the website
• All fees are non-refundable except as expressly provided under these terms or where such refund is mandatorily required under applicable consumer protection laws

Automatic Renewal

Subscriptions automatically renew at the end of each subscription period unless you cancel before the renewal date. OctoGenie will provide a mandatory reminder notice prior to renewal, and you will be charged the then-current subscription fee unless the subscription is cancelled before the renewal date.

Price Changes

OctoGenie reserves the right to modify subscription fees upon thirty (30) days' prior notice. Continued use of the Services after such notice constitutes acceptance of the new fees.

Taxes

All fees are exclusive of applicable taxes, levies, or duties imposed by taxing authorities. You are responsible for payment of all such taxes, levies, or duties.

OctoGenie's Rights

All Content, features, and functionality of the Services, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, are the exclusive property of OctoGenie or its licensors and are protected under applicable Indian and International laws governing copyrights, trademarks, patents, trade secrets, and related proprietary rights, to the extent such protection is available under law.

Trademarks

The OctoGenie name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of OctoGenie or its affiliates. You may not use such marks without prior written permission from OctoGenie.

User Content

You retain all rights to any content you submit, post, or display on or through the Services ("User Content"). By submitting User Content, you grant OctoGenie a worldwide, non-exclusive, royalty-free, perpetual, irrevocable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content in connection with providing and promoting the Services.

The Services may contain links to third-party websites, applications, or services that are not owned or controlled by OctoGenie. OctoGenie has no control over and assumes no responsibility for the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that OctoGenie shall not be liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods, or services available on or through any such third-party websites or services.

You agree to defend, indemnify, and hold harmless OctoGenie, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your use of the Services
• Your violation of any rights of another party
• Your User Content

To the maximum extent permitted by applicable law:

• OctoGenie shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, except for liabilities that cannot be excluded or limited under applicable law, including statutory liabilities, consumer protection claims, and liabilities arising from data protection.
• OctoGenie's total liability for all claims arising out of or relating to these Terms or the Services shall not exceed the amount paid by you to OctoGenie in the twelve (12) months preceding the event giving rise to the liability.
• Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Jurisdiction

Any legal action or proceeding arising out of or relating to these Terms or the Services shall be instituted exclusively in the courts of Bangalore, Karnataka, India. You consent to the exclusive jurisdiction of such courts.

Arbitration

Before filing any legal action, the parties agree to attempt to resolve any dispute through good faith negotiations. If negotiations fail, either party may initiate binding arbitration in accordance with the Indian statute, namely the Arbitration and Conciliation Act, 1996, and the arbitration shall be conducted at Bangalore, Karnataka, India.

OctoGenie reserves the right to modify these Terms at any time. We will provide notice of material changes by:

• Posting the revised Terms on the website with an updated "Last Modified" date
• Sending notification to your registered email address
• Displaying a notice on the Services

Your continued use of the Services after such modifications constitutes your acceptance of the revised Terms.

Termination by You

You may terminate your Account at any time by contacting support@octogenie.com or through the Account settings interface.

Termination by OctoGenie

OctoGenie may suspend or terminate your access to the Services upon prior notice for any reason, including violation of these terms, provided that OctoGenie may suspend or terminate such access immediately, with prior notice or liability, in cases of:

• Breach of these Terms or any applicable policies
• Fraudulent or unlawful, or misleading activity
• Abuse, harassment, intimidation or threatening conduct toward OctoGenie, its employees, partners, or other users
• Defamatory, obscene, hateful, or offensive content or conduct
• Impersonation or misrepresentation of identity or affiliation
• Infringement of intellectual property or proprietary rights
• Spamming, scraping, reverse engineering, or unauthorized data extraction
• Introduction of malware, viruses, or any activity compromising system security
• Misuse of the Services in a manner that disrupts, harms, or interferes with platform integrity or other users
• Request or directives from law enforcement or government authorities
• Technical, operational, or security reasons

Effect of Termination

Upon termination:

• Your right to access and use the Services will immediately cease
• You remain liable for all obligations incurred prior to termination
• OctoGenie may delete your Account and all associated data within 30 days supported by a notice period of 60 days, except as required by law

Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices published by OctoGenie on the Services, constitute the entire agreement between you and OctoGenie concerning the Services.

Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck down and the remaining provisions shall remain in full force and effect.

Waiver

No waiver by OctoGenie of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition and any failure or delay by OctoGenie in exercising any right, remedy, or power hereunder shall not operate as a waiver thereof.

Assignment

You may not assign or transfer these Terms or your rights hereunder without OctoGenie's prior written consent. OctoGenie may assign these Terms without restriction.

Force Majeure

OctoGenie shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
